Terms of Service

These Terms of Service (the "Terms") govern your use of the Orbis AI assistant service (the "Service") provided by Orbis, Inc. ("Orbis", "we", "us"). By creating an account, accessing, or using the Service, you agree to these Terms.

1. Acceptance and eligibility

You must be at least 18 years old and authorized to bind the entity you represent. By using the Service you confirm both. If you accept these Terms on behalf of a company, "you" includes that company.

2. The Service

Orbis is an AI assistant that integrates with messaging platforms (WhatsApp, Slack, email) and third-party tools (Notion, HubSpot, Google Drive, Stripe, etc.) to help you operate your business. The Service evolves; specific features, models, and integrations may change without notice. Material reductions in core functionality will be communicated in advance where reasonably possible.

3. Your account

• You are responsible for all activity under your account.
• Keep your credentials secure. Notify us immediately if you suspect unauthorized access.
• One human or one entity per account. Multi-user access is governed by per-tenant role permissions.
• You may invite teammates to your tenant. You are responsible for their compliance with these Terms.

4. Acceptable use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right
• Harass, threaten, defraud, or impersonate any person
• Send spam, phishing, or other unsolicited communications
• Distribute malware, viruses, or other harmful code
• Reverse engineer, scrape, or attempt to extract Orbis source code or model weights
• Resell, sublicense, or white-label the Service without our written permission
• Generate content that exploits minors, incites violence, or infringes intellectual property
• Circumvent rate limits, credit limits, or account restrictions
• Use the Service to develop a competing AI assistant product

We may suspend or terminate your account for violations of this section without prior notice.

5. Customer data

You own your data. Messages you send to Orbis, files you upload, contacts you create, and content generated on your behalf remain your property.

You grant Orbis a non-exclusive, worldwide, royalty-free license to access, process, store, transmit, and display your data solely as necessary to operate the Service for you. This license terminates when you delete the data or your account, subject to our retention obligations described in the Privacy Policy.

You are responsible for ensuring you have the rights to share any data you send to Orbis, including data about third parties (clients, contacts, employees).

6. AI output

Orbis generates output using AI models from Anthropic and other providers. AI output may be inaccurate, incomplete, biased, or inappropriate for your use. You are responsible for reviewing AI output before relying on it for any consequential decision (financial, legal, medical, or otherwise).

To the extent permitted by law, Orbis assigns to you all right, title, and interest in the output generated by the Service from your inputs, subject to applicable third-party model terms. You may use such output for any lawful purpose.

Orbis makes no warranty that AI output is accurate, complete, suitable for your purpose, or non-infringing.

7. Plans, credits, and billing

Subscription tiers

The Service is offered in tiers (Founder, Starter, Team, Scale, Growth, Pro, Enterprise) plus a Custom Solutions option. Each tier includes a monthly credit allotment. Credits are consumed by AI actions you trigger.

Trial

New accounts include a 14-day free trial with 5,000 included credits. You provide a valid payment method at signup; we do not charge during the trial. Your subscription auto-renews on day 15 at the rate of your chosen tier unless you cancel before then.

Charges and renewal

• Subscription fees are charged in advance on a monthly basis
• Subscriptions auto-renew until you cancel
• Credits roll over month-to-month while your subscription is active
• Top-ups (one-time credit purchases) are non-refundable except where required by law
• Failed payments enter a grace period during which Service may be limited; persistent failure leads to suspension

Refunds and cancellation

You may cancel anytime from your billing settings. Cancellation stops future renewals; you retain access through the end of the current period. Pro-rated refunds for partial months are not available except where required by law.

Pricing changes

We may change pricing for new subscriptions at any time. For existing subscriptions, we will give at least 30 days' notice before any price change takes effect.

8. Connected services

The Service integrates with third-party tools (Slack, Notion, Google, Stripe, etc.) at your direction. You authorize these integrations via OAuth or equivalent flows. Orbis is not responsible for the availability, accuracy, or behavior of connected third-party services. Your use of those services remains governed by their own terms.

9. Intellectual property

Orbis retains all right, title, and interest in the Service, including software, models, designs, content, and trademarks. Nothing in these Terms transfers any of those rights to you except the limited right to use the Service.

10. Confidentiality

Each party agrees to protect the other's confidential information with reasonable care and not to disclose it except as necessary to perform under these Terms or as required by law.

11. Service availability

We work hard to keep the Service available, but we do not guarantee uninterrupted access. Scheduled maintenance and unplanned outages may occur. The Service is provided on a best-effort basis at this stage; formal SLAs are available only under separate Enterprise agreements.

12. Termination

Either party may terminate these Terms by canceling the subscription. We may suspend or terminate your access immediately for material breach (including violations of Section 4). On termination:

• Your access to the Service ends
• You may export your data for 30 days following termination
• After 30 days, we may delete your data subject to our retention obligations
• Sections that by their nature should survive termination (Customer Data license terms relating to anonymized data, Limitation of Liability, Indemnification, Disputes) survive

13. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. To the maximum extent permitted by law, we disclaim all such warranties.

14. Limitation of liability

To the maximum extent permitted by law, Orbis's total cumulative liability arising from or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Orbis in the 12 months immediately preceding the event giving rise to the claim, or (b) USD $100. In no event will Orbis be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, or business interruption, even if advised of the possibility of such damages.

15. Indemnification

You agree to defend, indemnify, and hold harmless Orbis and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms or applicable law, (b) data you provide that infringes a third party's rights, or (c) your acts or omissions giving rise to a third-party claim against Orbis.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved by binding arbitration administered by JAMS in San Francisco, California, under its Comprehensive Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality matters.

You and Orbis agree that any dispute will be resolved on an individual basis only; class actions and class arbitrations are waived to the maximum extent permitted by law.

17. General

• Entire agreement: These Terms, together with the Privacy Policy and any signed agreement with Orbis, constitute the entire agreement between you and Orbis.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability: If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver: Our failure to enforce any right is not a waiver of that right.
• Notices: We may send notices to your account email; you may send notices to hello@imorbis.com.

18. Changes to these Terms

We may update these Terms as the Service evolves. Material changes will be communicated by email and through the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
